Terms of Business
The text below sets out the basis on which Company Guides Venture Partners Limited ("CGVP") does business. Please read it with care, and ask us about any points on which you would like more information.
CGVP's Relationship with Management and Investee Companies
When CGVP enters into negotiations which may lead to an investment being made, its main responsibility is to the prospective institutional investor(s) for whom CGVP acts as fund manager. CGVP does not normally provide an advisory service to Investee Companies or their management. CGVP assumes and suggests that Management and the Investee Companies will obtain independent professional advice on the merits of the transaction which CGVP proposes, and its suitability for them. CGVP is not engaging in designated investment business, such as corporate finance advisory services, with Management or the Investee Company.
Unquoted Investments
Transactions arranged by CGVP may result in Management acquiring not Readily Realisable Investments. CGVP is required to warn Management that this is the case and that it may be difficult to deal in any such Investment or to obtain reliable information about its value or the extent of the risks to which it is exposed.
Confidentiality
CGVP recognises the sensitivity of the information which Management and the Investee Company provide, and takes care in handling confidential matters. However, in order to make progress with a proposed transaction, CGVP may need to make information available to members of CGVP or other prospective participants such as other existing and/or potential investors, banks and other interested parties. CGVP will do this as it judges appropriate to permit proper discussion relating to the proposed transaction.
Conflicts of Interest
Conflicts may exist between the interests of Management and the Investee Company, and the interests of CGVP itself or other parties to whom CGVP has responsibilities. In arranging transactions, CGVP may be acting for other parties, including funds belonging to or managed by CGVP or its affiliates. CGVP may also act, now or in the future, in connection with transactions which involve companies in the same business as Management or the Investee Company, and which are actually or potentially in competition with it.
Financial Promotions and Unsolicited Calls
As a result of rules made under the Financial Services and Markets Act 2000, there are restrictions on CGVP's ability to make unsolicited calls. By continuing to engage in discussions with CGVP, Management and the Investee Company will be deemed to confirm their giving agreement to CGVP making such calls to Management and the Investee Company.
Management and the Investee Company should be aware that, by applying for funding and thereby giving their agreement, they will not have the right which they might otherwise have had under the Act to repudiate agreements entered into as a result of a cold call.
Complaints
Whilst CGVP does not view itself as entering into a client relationship in terms of the Financial Services and Markets Act 2000 with Management or the Investee Company, if for any reason you should wish to complain about the way CGVP undertakes its business you should do so in writing to CGVP’s chairman.
Remuneration
As CGVP does not engage in designated investment business with Management or the Investee Company it does not charge for that service. However, CGVP may charge Management and/or the Investee Company for work undertaken by it on behalf of other parties, including funds belonging to or managed by CGVP or its affiliates. In this event a written agreement will be entered into to cover the basis for the charges and how they will be paid and collected.
Position of Nominee Director
If CGVP appoints any directors to the board of a company, such directors will act in accordance with their legal and general responsibilities as directors rather than in their capacity as employees of CGVP responsible to CGVP. Any advice which they give will be in their personal capacity and not on behalf of CGVP. CGVP will of course be happy to give advice in the appropriate circumstances, but a formal request should be made to CGVP. Directors nominated by CGVP are not authorised to give advice on behalf of CGVP without a formal request being made to CGVP.

Please note that CGVP is regulated in the conduct of designated investment business and any other regulated activity by the Financial Services Authority (“the FSA”).
